TempoDyn Terms of Service

Eligibility
- You must be 13 years or older to use the Services.
- If under the age of majority in your jurisdiction (but at least 13), you may only use the Services with parental or guardian consent.
- Government or enterprise users must ensure proper authorization and compliance with applicable laws and organizational policies.
Accounts and Access
- To access certain features, you may need to create an account. You agree to provide accurate, complete, and updated information.
- You are responsible for safeguarding your account credentials. Notify us immediately at contact@tempodyn.com if you suspect unauthorized access.
- We may suspend or terminate accounts for violations of these Terms.
Inputs, Outputs, and Content
- You may submit prompts, queries, documents, or other information (“Inputs”) to the Services. AI systems may generate corresponding results (“Outputs”).
- You retain ownership of your Inputs, but grant TempoDyn a license to process them for the purposes of providing and improving the Services.
- Outputs may contain errors, bias, or incomplete information. Outputs are provided “as-is” and should not replace professional advice (legal, medical, financial, etc.).
- Do not submit Inputs that contain personal data of others without consent, highly sensitive information (HIPAA, FISMA), or unlawful content.
Acceptable Use
You agree not to:
- Use the Services to violate laws, regulations, or third-party rights.
- Use Outputs to mislead, impersonate, or engage in fraud.
- Attempt to reverse engineer, copy, or misuse TempoDyn’s AI models.
- Use Outputs as original or wholly human-generated works without disclosure.
- Train external AI/ML models using our Outputs without written permission.
Additional rules are set forth in our Acceptable Use Policy (AUP).
Subscriptions, Fees, and Payment
- Some Services are free; others require a paid subscription or enterprise contract.
- By subscribing, you agree to pay applicable fees and taxes. Subscriptions automatically renew unless canceled before renewal.
- Payments are non-refundable except as expressly stated.
- Enterprise agreements may include additional terms.
Enterprise Data Services
For enterprise users:
- Data processed through TempoDyn enterprise services remains the property of the client.
- TempoDyn acts as a data processor where applicable, subject to the client’s data protection policies and applicable law.
- We implement strong technical and organizational measures to protect enterprise data.
Intellectual Property
- TempoDyn and its licensors own all rights in the Services, including AI models, designs, logos, and software.
- You may not remove copyright notices, trademarks, or use TempoDyn branding without authorization.
- Feedback you provide may be freely used by TempoDyn without obligation.
Third-Party Services
- Some Services may integrate with third-party tools or government portals. TempoDyn is not responsible for their content, availability, or compliance.
- Additional third-party terms may apply.
Disclaimers
- The Services are provided “AS IS” and “AS AVAILABLE”.
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee accuracy, reliability, or timeliness of Outputs.
- You should not rely on the Services for critical government, financial, or legal decisions without independent verification.
Limitation of Liability
- To the maximum extent permitted by law, TempoDyn’s liability is limited to the greater of $10 or the fees paid by you in the past six months.
- We are not liable for indirect, incidental, special, or consequential damages.
- Some jurisdictions may not allow these limitations; in such cases, limitations apply to the fullest extent permissible.
Indemnification
You agree to indemnify and hold TempoDyn harmless from claims, damages, or expenses arising from:
- Your violation of these Terms,
- Your misuse of the Services,
- Your Inputs or Outputs,
- Your violation of third-party rights.
Dispute Resolution
- Arbitration: Disputes will be resolved by binding arbitration, except where prohibited by law.
- Class Action Waiver: You waive the right to participate in class actions or representative actions.
- Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@tempodyn.com.
Termination
- We may suspend or terminate your account or access for violations of these Terms.
- Upon termination, your rights to use the Services immediately end.
- Sections on intellectual property, limitation of liability, indemnity, and dispute resolution survive termination.
Governing Law
- These Terms are governed by the laws of California, USA.
- Disputes not subject to arbitration will be resolved in the state or federal courts of San Francisco, California.
Changes to Terms
We may update these Terms periodically. Updates will be effective upon posting. Continued use of the Services after updates constitutes acceptance.
